Terms of Service

These Terms of Service apply when you use our websites or register for a HIA seminar, workshop, webinar, or training program that is not governed by a separate client agreement.

These Terms of Service explain the rules that apply when you use a HIA website or register for, attend, or otherwise access a seminar, workshop, webinar, or training program offered by Hybrid Intelligence Advisors or Hybrid Intelligence Academy.

These Terms apply to hiaadvisors.com, hybridintelligenceacademy.com, related HIA registration pages, and the public services described on those pages, except where a separate written client agreement governs the service.

Hybrid Intelligence Academy LLC, doing business as Hybrid Intelligence Advisors (“HIA,” “we,” “us,” or “our”), provides these services subject to the Terms below.

1. Who We Are

Hybrid Intelligence Academy LLC, doing business as Hybrid Intelligence Advisors, is a New Jersey limited liability company that provides AI training, advisory, implementation, and custom workflow services for individuals, teams, and organizations.

2. Acceptance and Scope

By accessing a HIA website, registering for a Service, or attending a Service covered by these Terms, you agree to be bound by these Terms.

If you register on behalf of an organization, you represent that you have authority to bind that organization with respect to the registration and Service covered by these Terms, and “you” refers to both you individually and the organization as applicable.

Client engagements are governed separately. Advisory, implementation, organizational training, custom agent or workflow work, and other professional services performed under a statement of work or other written client agreement are governed by that agreement and, when incorporated or referenced, HIA’s Standard Client Terms.

If a statement of work or other client agreement applies to a service, that agreement controls for that service and these Terms of Service do not alter or supplement it unless the client agreement expressly provides otherwise.

3. Seminars, Workshops, and Training Services

HIA offers paid and, where noted, complimentary seminars, workshops, webinars, and training programs covering AI literacy, prompting, workflow design, and related topics. Program dates, formats, pricing, and instructors are described on the applicable registration page at the time of registration and may vary between offerings.

We reserve the right to modify program content, substitute instructors, or adjust the format of a session for reasons including instructor availability, enrollment levels, or venue constraints.

When a workshop, training program, or related service is provided under a statement of work or other written client agreement, that agreement governs instead of these Terms to the extent it applies.

4. Registration and Payment

Registration for a paid Service is confirmed only once we receive full payment, or an agreed deposit where offered, through the payment method presented at checkout. You agree to provide accurate registration and billing information.

Prices are stated in U.S. dollars and do not include applicable taxes unless noted. We use third-party payment processors to handle transactions and do not store your full payment card details.

5. Cancellations, Rescheduling, and Refunds

Participant cancellations. If you cancel your registration at least 7 calendar days before the scheduled start date, you may request a full refund or transfer your registration to a future session of the same program. Cancellations made within 7 days of the start date are non-refundable but may be transferred to a future session at our discretion. No-shows are not eligible for a refund.

Changes we make. If we cancel or reschedule a session, you will be offered a full refund or the option to transfer to a future session at no additional cost.

Refund requests should be sent to the contact address in Section 14 and are generally processed within 10 business days.

6. Intellectual Property

All course materials, slide decks, worksheets, templates, recordings, and other content HIA provides in connection with a Service (“Materials”) are the property of HIA or its licensors and are provided for your personal use or, where registration was made on behalf of an organization, that organization’s internal use only.

You may not copy, reproduce, distribute, resell, or publicly share Materials, or record any live session, without HIA’s prior written consent.

7. Acceptable Use

When using a HIA website or participating in a HIA Service, you agree not to:

  • engage in disruptive, harassing, or unlawful conduct toward instructors, participants, or other users;
  • share registration or session access with anyone who has not registered;
  • interfere with or attempt to compromise the operation, security, or availability of a HIA website or Service; or
  • use HIA Materials to develop a directly competing training program without our written consent.

We may remove a participant from a session, restrict website access where appropriate, or bar future registration for violation of these Terms.

8. No Professional Advice; No Guaranteed Outcomes

HIA websites, seminars, workshops, webinars, and training content are educational and informational. They do not constitute legal, financial, medical, or other regulated professional advice and should not be relied upon as such.

Completion of a HIA program does not guarantee any particular result, including job performance improvements, certification outcomes, or business results. Case studies, testimonials, or examples referenced in our Materials reflect individual experiences and are not guarantees of similar results.

9. Limitation of Liability

To the fullest extent permitted by law, HIA and its officers, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of Services governed by these Terms.

Our total liability for any claim arising out of or relating to these Terms or a Service governed by these Terms will not exceed the amount you paid to HIA for the applicable Service in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold HIA harmless from claims, damages, liabilities, and expenses, including reasonable attorneys’ fees, arising from your violation of these Terms or your misuse of Services or Materials governed by these Terms.

11. Third-Party Links and Services

Our websites and Materials may reference or link to third-party tools, platforms, or services, including AI tools discussed in training content. HIA does not control and is not responsible for the content, policies, or practices of any third-party service. Your use of a third-party tool is subject to that provider’s own terms.

12. Changes to These Terms

We may update these Terms from time to time to reflect changes in our Services or for legal or operational reasons. The “Last updated” date at the top of this page reflects the most recent version.

Material changes apply prospectively to registrations made after the update; they will not retroactively affect a Service you already completed or a session for which you are already registered, unless required by law.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or a Service governed by these Terms will be resolved exclusively in the state or federal courts located in New Jersey, and you consent to the personal jurisdiction of those courts.

This section applies only to disputes governed by these Terms. A statement of work or other client agreement may establish a different dispute-resolution process for services governed by that agreement.
